Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Cohalen website at cohalen.com, the Cohalen desktop application, and related services (together, the “Service”), provided by Cohalen LLC, a Wyoming limited liability company (“Cohalen,” “we,” “us”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Cohalen is a local-first desktop application for running AI coding agents in parallel across isolated git worktrees, reviewing their changes, and opening pull requests. The Service is currently offered in early access and may change, be limited, or be withdrawn at any time. Features described on the website may not yet be available.

2. Eligibility and accounts

  • You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Service.
  • When accounts become available, you are responsible for your credentials and for all activity under your account.
  • You agree to provide accurate information, including a valid email address for the waitlist and for account communications.

3. Your content and your repositories

Cohalen operates on your source code, prompts, and the output of the AI agents you run (“Your Content”). You retain all rights to Your Content. Cohalen is local-first: your code and worktrees stay on your machine except where you explicitly share a workspace with your team or connect a third-party service. You grant us only the limited rights needed to operate the Service for you.

4. Third-party services

The Service integrates with third parties you choose to connect, including GitHub for pull requests and the AI providers behind the coding agents you run. Your use of those services is governed by their terms, and their charges are your responsibility. The spend cap is a safeguard, not a guarantee against all third-party costs.

5. Acceptable use

You agree not to:

  • use the Service to violate any law or the rights of others;
  • reverse engineer, resell, or abuse the Service beyond what these Terms allow;
  • interfere with the integrity or security of the Service; or
  • use the Service to generate or distribute unlawful or harmful content.

6. Intellectual property

The Service, including its software, design, and the Cohalen name and marks, is owned by Cohalen and its licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. AI agents can produce incorrect or insecure output; you are responsible for reviewing every change before you ship it. Cohalen does not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of liability

To the fullest extent permitted by law, Cohalen will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or third-party charges (including AI provider costs), arising out of or related to the Service. Our total liability is limited to the greater of the amount you paid us in the twelve months before the claim or USD 100.

9. Changes and termination

We may modify these Terms or the Service. Material changes will be posted here with an updated date. You may stop using the Service at any time; we may suspend or end your access if you breach these Terms or if we discontinue the Service.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction, except where mandatory local law provides otherwise.
